Terms of Service

These Terms of Service (“Terms”) are published by Retail Pulse Labs Private Limited (CIN: U72200KA2021PTC152819), having its registered office at Site no. 1165, 5th Main Road, Sector 7, HSR Layout, Bengaluru, Karnataka – 560 102, India, a wholly owned subsidiary of Kirana Club Pte Ltd, incorporated in Singapore (UEN: 202339784H).

Retail Pulse Labs operates the Kirana Club platform and is the contracting entity for all services provided through the platform.

In these Terms, “Retail Pulse Labs,” “Kirana Club,” “KC,” “the Company,” “we,” “us,” and “our” refer to Retail Pulse Labs Private Limited unless stated otherwise.

1. Definitions

  • “Platform” means the Kirana Club website (kirana.club), the Kirana Club mobile application, and any related services, tools, or features operated by the Company.
  • “Retailer” or “Buyer” means a kirana store owner or authorised representative who registers on the Platform to browse products, place orders, or participate in the community.
  • “Seller” means a brand, distributor, or seller who lists products on the Platform for sale to Retailers. Sellers are governed by separate seller agreements with the Company; these Terms apply to Sellers only to the extent expressly stated.
  • “Services” means all services provided through the Platform, including the B2B marketplace and community features.
  • “Content” means any user-generated content on the Platform, including posts, images, text, market information, trade schemes, mandi rates, product reviews, and any other material uploaded or shared by users.
  • “Order” means a transaction between a Retailer and a Seller facilitated through the Platform, including the purchase of products and associated logistics and payment processing.

2. Acceptance of Terms

By registering on, accessing, or using the Platform (whether through the website or mobile application), you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not use the Platform.

You must be at least 18 years of age and legally capable of entering into binding contracts under Indian law. If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

We may update these Terms from time to time. Your continued use of the Platform after any changes are posted constitutes your acceptance of the revised Terms.

3. Account Registration & Eligibility

To access certain features of the Platform, you must create an account and provide accurate business information during onboarding, including:

  • Store name and trade name
  • GST number (GSTIN), if applicable
  • Business address
  • Contact details (name, phone number, email address)

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use of your account.

Each business entity is permitted one account unless otherwise approved by KC. We reserve the right to verify the information you provide and to suspend or terminate accounts that contain false, misleading, or incomplete information.

4. Platform Services — Marketplace

KC operates as an intermediary marketplace platform that connects Retailers with Sellers. KC facilitates product discovery, order placement, logistics coordination, and payment processing.

KC is not a party to the sale transaction between the Retailer and the Seller. The contract of sale is directly between the Retailer and the Seller.

The following terms apply to marketplace transactions:

  • Product listings, descriptions, pricing, availability, and quality are the responsibility of the respective Sellers. KC does not guarantee product availability, pricing accuracy, or delivery timelines.
  • All Orders are subject to Seller confirmation and product availability.
  • Cash on Delivery (COD): Cash is collected by logistics partners on behalf of the Platform. Retailers must pay the correct order amount to the logistics partner at the time of delivery. Failure to pay may result in account suspension or termination.
  • Prepaid / Part-paid Orders: Processed through third-party payment gateways. KC is not responsible for payment gateway failures or delays.
  • KC may offer incentives, discounts, or promotional offers at its sole discretion. Such offers may be modified or withdrawn at any time without prior notice.

5. Platform Services — Community

KC provides a community feature where Retailers can share market intelligence, including trade schemes, mandi rates, product availability, market trends, and other business-relevant information.

Community features are provided “as is” for informational purposes only. KC does not verify, endorse, or guarantee the accuracy, completeness, or reliability of any user-posted content.

Users should independently verify any market information, pricing, scheme details, or other content before making business decisions. Reliance on community content is at your own risk.

6. User-Generated Content

You retain ownership of the Content you post on the Platform. However, by posting Content, you grant KC a non-exclusive, royalty-free, worldwide, perpetual, irrevocable licence to use, display, reproduce, modify, distribute, and create derivative works from such Content for platform operations, marketing, analytics, and business purposes.

By posting Content, you represent and warrant that:

  • (a) You own or have the necessary rights and permissions to post the Content;
  • (b) The Content does not infringe any third party’s intellectual property, confidentiality, or other rights;
  • (c) The Content is not false, misleading, defamatory, or unlawful;
  • (d) Sharing trade schemes, pricing information, or brand-specific content does not violate any confidentiality agreement you have with the relevant brand or company.

KC reserves the right to remove, edit, or restrict any Content at its sole discretion and without prior notice.

KC is not responsible for any consequences arising from users sharing confidential or proprietary business information of third parties. You are solely responsible for ensuring you have the right to share any trade schemes, pricing information, or brand-specific content.

7. Prohibited Conduct

You agree not to:

  • Post false or misleading market information, pricing, or scheme details;
  • Use the Platform for any unlawful purpose or in violation of any applicable law;
  • Attempt to contact Sellers or Retailers outside the Platform to circumvent KC;
  • Scrape, crawl, or use automated tools to extract data from the Platform;
  • Upload malicious code, viruses, or any material that could compromise Platform security or operations;
  • Engage in harassment, abuse, or discrimination against other users;
  • Post content that infringes the intellectual property rights of any third party;
  • Create fake accounts or misrepresent your business identity;
  • Share content that violates any applicable confidentiality obligations;
  • Engage in any activity that disrupts or interferes with Platform operations.

KC reserves the right to suspend or terminate accounts that engage in prohibited conduct, with or without notice.

8. Intellectual Property

The Platform — including its design, features, content (excluding user-generated Content), trademarks, logos, and underlying technology — is owned by Kirana Club Pte Ltd and/or Retail Pulse Labs Private Limited and is protected under applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose, subject to these Terms. Nothing in these Terms transfers any intellectual property rights to you.

Seller Product Content

Sellers grant KC a licence to display product information, images, and descriptions on the Platform. Detailed terms governing Seller content are set out in the separate seller agreements. As KC transitions to seller-managed listings, Sellers will be directly responsible for the accuracy and legality of their product content.

9. Dispute Resolution Between Users

Disputes between Retailers and Sellers regarding Orders — including issues related to product quality, delivery, pricing, or returns — will be mediated by KC.

  • For disputes involving amounts up to INR 10,000, KC’s mediation decision shall be final and binding on both parties.
  • For disputes involving amounts above INR 10,000, KC will facilitate resolution but is not obligated to adjudicate or make a binding determination.

KC is not liable for any losses arising from transactions between Retailers and Sellers. KC reserves the right to withhold payments, cancel Orders, or take other actions as it deems necessary during dispute resolution.

10. Payments & Financial Terms

  • All prices on the Platform are displayed in Indian Rupees (INR). Whether prices are inclusive or exclusive of GST will be indicated on the product listing.
  • COD Orders: Retailers must pay the exact order amount to the logistics partner at the time of delivery. Failure to pay may result in account suspension.
  • Prepaid Orders: Payments are processed through third-party payment gateways. KC is not responsible for payment gateway failures, delays, or errors.
  • Refunds, if applicable, will be processed as per KC’s refund policy and credited to the original payment method or as platform credit, at KC’s discretion.
  • KC may deduct or adjust amounts in the event of returns, cancellations, or disputes.

11. Limitation of Liability

KC operates as an intermediary platform. To the maximum extent permitted by applicable law, KC shall not be liable for:

  • (a) The quality, safety, legality, or availability of products listed by Sellers;
  • (b) The accuracy or reliability of information posted by users in the community;
  • (c) Any transaction between a Retailer and a Seller, including non-delivery, defective products, or pricing discrepancies;
  • (d) Losses arising from reliance on community content, including trade schemes, mandi rates, or market information;
  • (e) Failures or disruptions in third-party services, including payment gateways and logistics partners.

KC’s total aggregate liability in connection with any claim arising from or related to the Platform shall not exceed the fees or commissions earned by KC from the specific transaction giving rise to the claim.

In no event shall KC, its directors, officers, employees, or affiliates be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunity, regardless of the cause of action.

12. Intermediary Status & IT Act Compliance

KC operates as an “intermediary” as defined under Section 2(1)(w) of the Information Technology Act, 2000. KC complies with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (“Intermediary Guidelines”).

Users may report objectionable content or violations of these Terms by writing to legal@kirana.club.

In accordance with the Intermediary Guidelines:

  • KC will acknowledge complaints within 24 hours of receipt.
  • KC will resolve complaints within 15 days of receipt.

The Grievance Officer designated under the Intermediary Guidelines and under Rule 5(9) of the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 is:

KC reserves the right to remove content and/or disable user accounts in response to valid complaints or legal orders. KC shall cooperate with law enforcement and government authorities as required under applicable law.

13. Indemnification

You agree to indemnify and hold harmless Retail Pulse Labs Private Limited, Kirana Club Pte Ltd, and their respective directors, officers, employees, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • (a) Your breach of these Terms;
  • (b) Your violation of any applicable law or regulation;
  • (c) Content posted by you on the Platform, including community posts;
  • (d) Any third-party claim arising from your use of the Platform;
  • (e) Infringement of any third party’s intellectual property or confidentiality rights through content you post.

14. Termination

KC may suspend or terminate your account at any time for violation of these Terms, suspicious activity, or at KC’s sole discretion, with or without notice.

You may deactivate your account at any time by contacting our support team at legal@kirana.club.

Termination does not relieve you of obligations accrued prior to termination, including pending payments, outstanding disputes, or any liability arising from your use of the Platform.

The following sections survive termination: Intellectual Property (Section 8), Limitation of Liability (Section 11), Indemnification (Section 13), Governing Law & Jurisdiction (Section 17), and any other provisions that by their nature are intended to survive.

15. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and disclose your personal information. By using the Platform, you consent to the data practices described in the Privacy Policy.

16. Modifications to Terms

KC reserves the right to modify these Terms at any time. Changes will be posted at this URL and/or communicated through the Platform. Your continued use of the Platform after any changes are posted constitutes your acceptance of the revised Terms.

You are encouraged to review these Terms periodically.

17. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. The courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any disputes arising from or related to these Terms or your use of the Platform.

In the event of any dispute, the parties shall first attempt to resolve the matter amicably within 30 days. If the dispute is not resolved within this period, either party may approach the courts at Bengaluru.

18. General Provisions

  • Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable seller agreements, constitute the entire agreement between you and KC regarding your use of the Platform.
  • No Waiver: The failure of KC to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: KC may assign or transfer these Terms, or any rights or obligations hereunder, without restriction. You may not assign or transfer these Terms without KC’s prior written consent.
  • Force Majeure: KC shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, pandemics, government actions, strikes, internet or telecommunications failures, or any other force majeure event.
  • Notices: Notices to you may be sent via email to your registered email address or through in-app notifications on the Platform. Such notices shall be deemed received at the time of sending.
